Welcome to Catalyzer! These Terms of Service (“Terms”) govern your use of our website and services, including business consulting and access to tools we provide. By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services or website.

1. Proprietary Rights

All deliverables, plans, manuals, and materials created by Catalyzer as part of our consulting services are the exclusive property of the client for whom they were developed. Upon the termination of services or at the client’s request, Catalyzer will return or destroy all client-provided or client-specific materials, including confidential information and work product.

2. Confidentiality

Catalyzer acknowledges that clients may disclose confidential and proprietary information necessary for the performance of our services. Catalyzer agrees to:

  • Use such information solely for the purpose of providing services to the client.

  • Not disclose or misuse any proprietary or confidential information without the client’s prior written consent.

This obligation remains in effect during and after the term of engagement.

3. Warranties

Catalyzer warrants:

  • That it has the necessary expertise and authority to perform the agreed-upon services.

  • That services provided will comply with all applicable laws and regulations.

  • That all deliverables will be original and will not infringe upon the rights of third parties.

Catalyzer disclaims all other warranties, express or implied, including any implied warranties of merchantability or fitness for a particular purpose.

4. Independent Contractor

Catalyzer operates as an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship between Catalyzer and any client.

5. Payment Terms

  • Expenses: Approved expenses, including travel-related costs, will be itemized and billed monthly. Clients must approve such expenses in advance.

  • Billing and Payment Schedule: Catalyzer will invoice clients at the end of each month for services and expenses. Payment is due within 14 days of invoice issuance. Late payments may result in suspension of services.

6. Non-Exclusive Relationship

These Terms do not prohibit either party from entering into agreements with third parties for similar services. Catalyzer retains the right to serve other clients in a similar capacity.

7. Term and Termination

  • Term: These Terms govern your use of our services for the duration of your engagement or until terminated.

  • Termination: Clients may terminate their engagement with Catalyzer by providing 10 business days’ written notice. Catalyzer will provide all deliverables completed up to the termination date and refund any prepaid fees for unrendered services.

  • Upon termination, Catalyzer will return or destroy all client-provided materials upon request.

8. Intellectual Property

All tools, processes, and methodologies developed by Catalyzer during the course of an engagement remain the intellectual property of Catalyzer, unless explicitly transferred to the client in a written agreement.

9. Non-Solicitation

During the term of engagement and for one year thereafter, clients agree not to solicit or hire Catalyzer employees or contractors without Catalyzer’s prior written consent.

10. Limitation of Liability

To the maximum extent permitted by law:

  • Catalyzer is not liable for indirect, incidental, or consequential damages resulting from the use of its services or tools.

  • Catalyzer’s total liability for any claims arising out of or relating to its services is limited to the fees paid by the client in the preceding six months.

11. Governing Law

These Terms shall be governed by the laws of the State of New Hampshire, without regard to conflict of law principles.

12. Dispute Resolution

Any disputes arising under these Terms will be resolved exclusively through arbitration in accordance with the rules of the American Arbitration Association. Each party will bear its own costs unless otherwise determined by the arbitrator.

13. Changes to These Terms

Catalyzer reserves the right to update these Terms from time to time. Changes will be effective upon posting to this website. Continued use of our services or website constitutes your acceptance of any changes.

15. Entire Agreement

These Terms constitute the entire agreement between you and Catalyzer with respect to your use of our website and services. No other agreements or understandings, oral or written, will modify these Terms unless explicitly agreed upon in writing by both parties.
